1. Parties and entities
Signalto Limited means Signalto Limited, a company incorporated in New Zealand (company number [to confirm], NZBN [to confirm]), whose registered office is at c/- BDO Auckland, Level 10, BDO Tower, 19 Como Street, Takapuna, Auckland 0740, New Zealand. It is the trading entity, the provider of the Services, and the contracting party under each document unless that document states otherwise. References to “SignalTo”, “we”, “us”, and “our” mean Signalto Limited.
Signalto IP Limited means Signalto IP Limited, a company incorporated in New Zealand (company number [to confirm], NZBN [to confirm]), whose registered office is at c/- BDO Auckland, Level 10, BDO Tower, 19 Como Street, Takapuna, Auckland 0740, New Zealand. It is the entity that owns the SignalTo Intellectual Property Rights. It is named only where ownership of Intellectual Property Rights or the grant of the white-label licence is in issue.
SignalTo Group means Signalto Limited and Signalto IP Limited together.
You and your mean the person or organisation bound by the document in which the term appears: the Customer in the Terms of Service, the Authorised User in the End User Terms, the Reseller in the Reseller Terms, and the Affiliate in the Affiliate Terms.
2. The people who use SignalTo
Customer means the person or organisation that contracts with Signalto Limited for the Services and is responsible for the Fees. For a Direct Customer this is the business that signs up at signalto.ai. For a Reseller-Managed account this is the Reseller, not the End Client.
Account means a SignalTo account, being the workspace through which the Services are accessed for a particular Customer Site, together with its settings, configuration, and stored data.
Authorised User means an individual the Customer (or, for Reseller-Managed accounts, the Reseller or the End Client) permits to access an Account, including users holding the Admin, Editor, or Viewer role. The Customer is responsible for the acts and omissions of its Authorised Users.
End Client means, in the Reseller model, the business whose AI visibility is managed by a Reseller through the Services. An End Client is not the Customer; the Reseller is.
Partner means a Reseller or an Affiliate. Where a term applies to both, “Partner” is used.
Reseller (also Direct Reseller) means a Partner that resells the Services and manages AI visibility on behalf of its own End Clients, under the Reseller Terms. A Reseller may operate the Services under its own brand using the white-label capability.
Affiliate means a Partner that refers prospective Customers or Resellers to SignalTo in exchange for commission, under the Affiliate Terms, and that does not deliver or manage the Services.
Marketplace Reseller means a cloud-focused reseller that distributes the Marketplace Product through a third-party marketplace (such as AWS Marketplace or Azure Marketplace).
Direct Customer means a Customer that signs up directly at signalto.ai and manages its own Account.
3. The Services and the product
Services means the SignalTo AI Visibility Management platform and all features, tools, content, and infrastructure SignalTo makes available, including the Platform, the Console, the Plugin, AI monitoring, the detection and recommendation system, AI Assist, the generation of Suggested Changes, the AI Publications, the Reports, and any related support.
Platform means the SignalTo software through which the Services are delivered.
Console means the SignalTo dashboard interface through which Authorised Users access an Account.
AI Visibility Management means the practice the Services support: monitoring, protecting, and improving how AI Systems and search engines represent a business, combining generative engine optimisation (GEO) and search engine optimisation (SEO).
Integrated Mode means use of the Services with the Plugin connected to the Customer Site, so that approved Suggested Changes and AI Publications can be published to the Customer Site.
Standalone Mode means use of the Services without the Plugin, where the Services operate from publicly available content and generated files are made available to the Customer for download rather than published automatically.
Plugin means the SignalTo content management system plugin (currently for WordPress and WooCommerce, with further platforms planned) that connects an Account to the Customer Site.
AI Dedicated Pages means the machine-facing page structures the Services generate for AI crawlers, included in the ai-sitemap.xml and not placed in the Customer Site’s main navigation.
AI Publications means the technical files the Services generate or maintain, namely llms.txt, llms-full.txt, ai-sitemap.xml, JSON-LD structured data, meta tags, and robots.txt synchronisation.
Brand Intelligence Profile means the structured reference profile the Services build from the Customer’s business and Customer Site, which informs the Services’ recommendations.
AI Visibility Report means the diagnostic report the Services produce describing a business’s current AI representation, gaps, risks, and competitive position. It is provided free of charge.
Monthly Report means the single periodic report the Services produce on the first day of each month, combining the Account’s current data and stats with a summary of the prior month’s activity.
Service Levels means the availability target and support commitments for the Services set out in the Terms of Service, and any negotiated service level addendum for an Enterprise, Marketplace, or larger Reseller arrangement.
Support Hours means Monday to Friday, 9:00am to 5:00pm New Zealand time, excluding New Zealand public holidays.
Scheduled Maintenance means maintenance of the Services for which SignalTo gives advance notice, and emergency maintenance reasonably required to protect the security or integrity of the Services. Scheduled Maintenance is excluded from the availability target.
4. Content, approval, and AI outputs
Customer Data means all data and content the Customer or its Authorised Users provide to the Services, and all data the Services collect about the Customer’s business and Customer Site in order to deliver the Services.
Customer Site means the website or web property the Customer connects to or identifies for an Account.
Suggested Changes means the recommendations, draft content, structured data, links, and other outputs the Services generate for the Customer’s consideration (including Actions and any AssistDraft). Suggested Changes are proposals only.
Approval means the Customer’s or an Authorised User’s express acceptance of a Suggested Change. Nothing is published to a Customer Site without Approval; the Services operate on a human-in-the-loop basis.
Generated Content means any content produced by the Services, including content produced using AI Systems and third-party data, whether or not Approved.
Free Trial means the 15-day trial of the Services provided at no charge, with limited data scope, no Plugin, and no integrations, after which an Account is not charged unless it is upgraded to paid.
5. AI Systems and third parties
AI Systems (also AI Platforms) means third-party generative AI services and AI-powered search features the Services monitor and query, including ChatGPT (OpenAI), Claude (Anthropic), Perplexity, and Google AI Overviews, and any others enabled from time to time. SignalTo has no privileged or backend access to these services; all monitoring is performed by running the Services’ own queries.
Third-Party Provider means a third party whose products, services, data, or infrastructure SignalTo uses to deliver the Services, or to whom Customer Data may be disclosed for that purpose.
Subprocessor means a Third-Party Provider that Processes Personal Information on SignalTo’s behalf in connection with the Services. The current Subprocessors are set out in the Subprocessor list published alongside the Privacy Policy.
6. Commercial terms
Fees means the amounts payable for the Services. For the self-managed plan the Fee is the published monthly subscription price. For Done for You Services and for Partner arrangements the Fees are as agreed in the relevant order or agreement and are not published.
Subscription means a paid, recurring right to access the Services for an Account.
Self-Managed Plan means the direct self-serve subscription under which the Customer operates the Console itself, charged at the published monthly price (currently $300 USD per month).
Done for You Services means the managed service under which SignalTo operates the Services on the Customer’s behalf, offered by request, scoped per engagement, and priced on application. Done for You Services are provided under the Terms of Service together with a per-engagement order.
Marketplace Product means the non-integrated version of the Services distributed through a third-party marketplace and billed through that marketplace.
Service Credit means a credit applied to a future invoice as the sole and exclusive remedy where SignalTo does not meet the availability target in a given month, calculated and claimed as set out in the Terms of Service. Service Credits do not apply during the Free Trial.
Setup Fee means the first month-start charge after a Direct or Reseller-Managed Account upgrades from the Free Trial to paid. It is equal to the applicable monthly Fee, not an additional amount, and is charged at the start of the month following the upgrade.
Billing Cycle means the month-start cycle on which Direct and Reseller-Managed Accounts are charged once upgraded from the Free Trial to paid: the Setup Fee first, then the applicable Fee at the start of each calendar month, with no proration for partial months. Cancelling stops the charge at the next month start. Marketplace and Enterprise accounts are billed through their own channels.
Wholesale Rate means the per-site fee Signalto Limited charges a Reseller for the Services. It is set out in the Reseller Terms or the applicable order, and is confidential. (No figure appears in this file or in any public document.)
Commission means the amount Signalto Limited pays an Affiliate in respect of revenue generated by a referred Customer or Reseller. It is set out in the Affiliate Terms or the applicable arrangement, and is confidential. (No figure appears in this file or in any public document.)
White-Label means the capability that allows a Reseller to present the Services to its End Clients under the Reseller’s own brand. The white-label licence is granted by Signalto IP Limited under the Reseller Terms.
7. Privacy and data protection
Privacy Act means the Privacy Act 2020 (New Zealand), as amended or replaced from time to time, and includes the information privacy principles made under it.
Personal Information has the meaning given in the Privacy Act.
Agency has the meaning given in the Privacy Act.
Process (and Processing) means any operation performed on Personal Information, including collecting, holding, using, disclosing, storing, and destroying it.
Data Processing Terms means the data processing terms that govern SignalTo’s Processing of Personal Information contained in Customer Data on the Customer’s behalf, set out in the Data Processing Terms document.
8. Legal and interpretation
Intellectual Property Rights means all intellectual property rights anywhere in the world, whether registered or unregistered, including copyright, trade marks, design rights, patents, database rights, trade secrets, and rights in confidential information and know-how.
SignalTo Intellectual Property means all Intellectual Property Rights in and to the Services, the Platform, the Plugin, the detection and recommendation systems, the Brand Intelligence Profile methodology, the SignalTo brand, and all related materials, owned by Signalto IP Limited.
Confidential Information means information disclosed by one party to another that is marked confidential or that a reasonable person would understand to be confidential, including the Wholesale Rate, Commission rates, and non-public commercial terms.
Document and Documents mean the legal documents in the SignalTo set, namely the Privacy Policy, the Cookies Policy, the Terms of Service, the End User Terms, the Data Processing Terms, the Fair Usage Policy, the Acceptable Use Policy, the Reseller Terms, and the Affiliate Terms.
Effective Date means, for each Document, the date stated at the top of that Document.
Rules of interpretation (to appear in each Document by reference)
- Headings are for convenience and do not affect interpretation.
- The singular includes the plural and vice versa.
- A reference to a statute includes any amendment to or replacement of it.
- “Including” and “for example” are not words of limitation.
- A reference to a party includes that party’s permitted successors and assigns.
- Currency is United States dollars (USD) unless stated otherwise.
- Where a Document conflicts with the Terms of Service on a matter the Terms of Service govern, the Terms of Service prevail unless that Document expressly states otherwise.
